These Terms of Use govern your use of incenti.co and its public marketing and informational subdomains (the "Site"), operated by Incenti Solutions, Inc., a Delaware corporation ("Incenti"). By using the Site you agree to these Terms and to our Privacy Policy at https://incenti.co/privacy. The Site is intended for users who are at least 16 years old and is directed to a United States audience.
These Terms govern the website only — they do not govern the platforms. portal.incenti.co and every other login-gated application environment are not part of the Site: access to and use of Incenti EDOS, Insights, from any URL, is governed by the Master Subscription Agreement between Incenti and your organization, and your use of the platforms as an Authorized User is subject to that agreement and to the Acceptable Use Policy at https://incenti.co/legal/aup. Submissions through platform-hosted public forms are governed by the Form Submission Notice displayed at the form. If these Terms conflict with the Master Subscription Agreement as to anything platform-related, the Master Subscription Agreement controls.
1. Use of the Site
You may use the Site for lawful purposes, for your own informational and internal business use. You may not: copy, republish or distribute Site content except reasonable printing or downloading for your own use; use robots, scrapers or other automated means to access the Site; use Site content to train, fine-tune or develop any artificial-intelligence or machine-learning model, or collect it for that purpose; frame the Site or use our name, logos or trademarks without written permission; interfere with the Site's operation, probe its security, or attempt unauthorized access; introduce malicious code; or misrepresent your identity or affiliation.
2. Content and intellectual property
The Site and its content — text, graphics, data, software, and their selection and arrangement — are the property of Incenti or its licensors and are protected by intellectual property law. No right, title or interest transfers to you, and all rights not expressly granted are reserved. The INCENTI name and logo, Incenti EDOS, and Incenti Insights are trademarks of Incenti Solutions, Inc.
3. Suggestions
If you send us ideas, suggestions or feedback about the Site or our products, we may use them without restriction or compensation, and you assign to us all right, title and interest in them.
4. Accuracy; no reliance
Site content is provided for general information. We work to keep it current but make no representation that it is accurate, complete or up to date, and content may change without notice. Product descriptions on the Site do not modify any agreement; the Master Subscription Agreement governs what our products do and what we commit to.
5. Third-party links
Links to third-party websites are provided for convenience. We do not control and are not responsible for them; your use of them is at your own risk and subject to their terms.
6. Copyright complaints
We respect intellectual property rights. Notices of claimed copyright infringement should follow our DMCA Policy at https://incenti.co/legal/dmca.

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.
8. Limitation of liability
To the fullest extent permitted by law, Incenti and its officers, employees and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of your use of the Site, and our total liability for all claims relating to the Site will not exceed one hundred dollars ($100). Your sole remedy for dissatisfaction with the Site is to stop using it.
9. Indemnification
You will indemnify Incenti against claims arising from your violation of these Terms or your misuse of the Site.
10. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and any action relating to the Site must be brought in the state or federal courts located in Delaware. (This section governs website disputes only; the governing-law provisions of the Master Subscription Agreement — including its accommodation of Public Entity customers — govern platform relationships.)
11. Termination of access
We may suspend or terminate your access to the Site at any time, without notice, for conduct that violates these Terms or is otherwise harmful. Sections 2, 3, and 7 through 10 survive any termination.
12. General
These Terms are the entire agreement between you and Incenti regarding the Site (they do not affect any other agreement between Incenti and you or your organization). If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will stand. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. You may not use the Site in violation of U.S. export control or sanctions law.
13. Changes
We may revise these Terms by posting an updated version at this page with a new effective date. Your continued use of the Site after posting is acceptance of the revision. Prior versions are archived at https://incenti.co/legal.
